Freelancers share ideas constantly — a pitch, a concept, a business plan, a client's unreleased product — and most of the time it works out fine. But it only takes one bad experience to learn why a non-disclosure agreement matters. An NDA is a short document that says, in plain language, that the other side will not share or use your confidential information. A free template gives you that protection in minutes.

An NDA is needed whenever you share something valuable before a contract is signed: pitching a creative idea to a potential client, discussing a client's unreleased product, or collaborating with another freelancer on a joint proposal. It is also common for clients to ask you to sign their NDA before they share their own confidential information — and signing a reasonable one is normal. The key is that the protection runs both ways: your ideas and their information are both covered.

A good free NDA template covers five things. It defines what counts as confidential information — ideas, plans, designs, client lists, and anything marked confidential. It states what the other side must do: keep it secret, use it only for the agreed purpose, and not share it with anyone else. It sets a time limit, usually two to five years. It lists the exceptions, such as information that was already public. And it states what happens if the agreement is broken. Keep the template short — one to two pages — because a long, aggressive NDA scares clients away.

Free NDA templates are widely available in Word, Google Docs, and PDF formats, and most are written in plain language for freelancers and small businesses. A mutual NDA — one that protects both sides — is usually the best choice, because it feels fair and clients sign it without hesitation. A one-way NDA, which only protects you, is harder to get signed and is best reserved for situations where you are sharing something genuinely sensitive. Have a local lawyer review your template once if you use it regularly; a short review is cheap and it catches problems specific to your country.

The practical rule is simple: send the NDA before the idea, not after it. Once an idea is shared without protection, an NDA signed later cannot undo the disclosure. Keep a signed copy for every project, store it with the contract, and note the expiry date. Most freelancers never need to enforce an NDA — its real value is that it makes everyone take confidentiality seriously from the start, and that alone prevents most problems.

Clients often send their own NDA before sharing project details, and signing one is usually the right move — but read it first. Check how long the confidentiality lasts, what counts as confidential, and whether the agreement stops you from working with their competitors. A reasonable NDA lasts two to five years, covers information that is genuinely secret, and does not restrict your future work. An unreasonable one lasts forever, covers everything including public information, and bans you from an entire industry.

If a clause worries you, ask for it to be changed — most clients expect some negotiation and will agree to reasonable amendments. Pay special attention to intellectual property clauses: an NDA should protect information, not hand over ownership of your work or your ideas. If the document also assigns your IP to the client, that belongs in the main contract with a proper fee, not hidden in an NDA. When in doubt, ask a lawyer to review it before you sign — a short review is far cheaper than a bad agreement.
